Board of Directors approve or concur in making the \u201cReport of November 30th, 19217?- - If so, did they have the assurance, or certificate, of the Bank Auditors, or of The General Manager of the Bank, that the \u201cReport\u201d was correct?4 If the \u201cReport of November 30th, 1921\u201d was false, were previous Reports to the Government correct?If the \u201cReport of November 30th, 1921\u201d is true, is not the impairment of the Bank's Rest or Reserve Fund, $9,450,000 by December 28rd, 1921 inexplicable.What part, if any, has the Thornton, Davidson insolvency played in the Bank of Canada is even now endeavouring to attract to that institution.(5) To safeguard the interests of - the shareholders of the Men _ chants\u2019 Bank of Canada, the ~~ same being jeopardised by the Jrojected sale to the Bank of ©.Montreal (6) \u2018To prevent & repetition of such Affair,» oo ~~ OR CLEAR THE INNOCENT The Axes searchlight turned on the Merchants\u2019 Bank affair.A strong and stirring appeal for government investigation and legal -action if justified by the facts of the case.The Montreal Star has made certain statements regarding the Merchants\u2019 Bank.We have no means of verifying these statements but having regard to the reputation for accuracy and the high standing of that newspaper we cannot but believe that those statements are true.The further fact that these state ments have been uncontradicted .confirms our belief in their accuracy, nor can we imagine so public-spi- rited a citizen as Lord Atholstan, the owner of The Montreal Star, permitting the publication of these statements unless he were completely satisfied of their truth.From a careful study of these statements it looks very much as .if the Return made to the Government on November 30th., 1921, was incorrect.This Return stated that the Rest or Reserve Fund was $9,450,- 000.00.But on December 23rd.Sir Montagu Allan stated that this Rest or Reserve Fund had been reduced to $1,500,000.00, through it having been necessary to take $8,000,000.00 from the said Fund to repair the Capital Fund.Now, it is manifestly unthinkable that this sum of $8,- 000,000.00 had vanished betweén the thirtieth of November and the twen- ty-third of December.It must have gone prior to November 80th.In other words there appears to have been a loss of capital prior to November 30th.If such were the case then such loss of capital should have been mentioned in the Return to the Governmemt of November 80th., as Article 39 of The Bank Act, Canada, requires.The absence of any such mention of loss of capital in that report involves the accuracy of that Return and it seems clear that the Report of November 30th.was not a true report.We believe that right here is the starting point of a consideration of the whole problem of The Merchants\u2019 Bank.The stability of our banking institutions rests upon the manner in which those responsible for their direction carry out their duties.Their primary duty in retaining public confidence is to keep the Government, representing the people, regularly and correctly informed as to the financial position of the institutions they direct.This the law provides for and its direct ions to banking authorities regarding such duties are precise and imperative.Once a Bank fails to \u201cplay fair\u201d with the Government the process of undermining public confidence has begun.The whole ques- -tion is, was the Capital Fund intact on November 30th.or was it depleted between that date and December 23rd.?If the former then the Return of November 30th.was correct; if not, then it was incorrect.° It is impossible to believe that such an immense sum of money could be dissipated in such a short time.Unless some night somebody backed up a truck to the doors of the Bank and loaded it up.No money was being loaned to Thornton, Davidson and Co.during this period, although this insolvent concern appears from the evidence in the Colin Cameron case to previously have drained The Merchants\u2019 Bank pretty thoroughly.If heavy loans were made between November 30th and December 23rd they would surely be against good collateral security (bearing in mind the losses re Thornton, Davidson and Company) and would, therefore, not \u201cseriously impair\u201d the Reserve Fund.THE LOGICAL DEDUCTION cur in the -making of a false Co \u201cireturn to the Minister of Fin- If it be granted- that this large{ance Yet color is lent to this sus- sum of $8,000,000.00 did not, be-lpicion by the fact that Sir Montagu cause it could not, disappear in the period between November 30th and December 23rd, it logically follows that the Return made to the Minister of Finance on November 30th was false.| We cannot see what other conclusion can be arrived at.It is hard to believe that the Directors of The Merchants\u2019 Bank, who are all men of high soéial standing in the community, some of them outstanding figures in the national life of Canada, one of them being a Cabinet Minister at that time, it is hard to believe, we say, that such men Allan has stated that an experienced banking man was called in to make a searching investigation of the condition of the Merchants\u2019 Bankit can only be deduced from the known facts, the calling in of this investigator, the acknowledgement of The Merchants\u2019 Bank Rest bein \u201cseriously impaired\u201d, the sale to The Bank of Montreal, that on November 30th, when the Return was made to the Finance Minister the Directors of the Meschants\u2019 Bank were very uncertain as to the real condition of the funds of that institution, or, in the contrary event, that they gprove, or oon-{had \u2014 hI.bean and were being woefully dS \u201c- Ea fra a SR T0 THE SHAREHOLDERS OF THE | MERCHANTS BANK The \u201cMontreal Star\u201d, to which be all honour for the stand it has taken in publishing the facts surrounding The Merchants\u2019 Bank surrender and absorption, says in almost every issue in which it deals with the matter that the shareholders must vote for the sale.Here, for instance, is what that journal said on January 6th.\u201cThe shareholders of The Merchants\u2019 Bank, betrayed though they may be by a cowardly surrender, have only one course open to them.\u201cTo save themselves, they must send proxies or attend the meeting on the eighth February and, having no option \u2014 no means of self-pro- tection \u2014 they must vote for the sale, It has all been fixed so that the shareholders are helpless, utterly without a way of retreat.\u201d Unlesg the Directors control two- thirds of the Voting Stock, we fail with all due respect to the \u201cStar\u201d, to see-why the shareholders case is 80 hopeless as \u201cThe Montreal Star\u201d contends.Under Article 102 of The Bank Act, Canada, it is provided that the agreement of sale and purchase shall be approved by the votes of shareholders representing two- thirds of the subscribed capital stock before having force or effect.If those who desire to sell to The Bank of Montreal represent less than two-thirds of the subscribed capital stock the merger need not go through, - - The question in our mind is this?Why cannot The Merchants\u2019 Bank continue to function if it\u2019s \u201cCapital subscribed and paid, $10,500,000\u201d as reported on November 30th, 1921, together with its other assets, still exists?It is clear beyond dispute that whoever controls two-thirds of the subscribed capital stock controls the situation.Who does so, the Directors or the other stockholders ?deceived by somebody as to the Bank\u2019s true condition.But there was no appearance of uncertainty about the Return in question.It carried an assurance of exactitude g |upon its may\u201d.\u2018 SOLDIERS J ARVE 1 a / r Our Heroic Firemen Montreal has this week seen another display of that matchless heroism for which its splendid Fire Brigade is renowned.Lieutenant Napoléon Desloges and Fireman Louis Presseau are two more names added to the long Roll of Honor of which not only the Montreal Fire Brigade is proud, but of which Montreal itself is proud beyond measure.These men died in the course of duty, not fearing the call that came so suddenly.They gave themselves for others; no higher service can men each other give.To the sorrowing and suffering loved ones left behind, we tender our .heartfelt sympathy and to Montreal our congratulations upon possessing - such servants as these.To slightly paraphrase, we say :\u2014 \u201cNot once nor twice in this great * City\u2019s story, The path of duty was the way of ' glory\u201d.: The Provincial Treasurer's i Speech.The new Provincial Treasurer, Hon.Jacob Nicol, has made his maiden speech in the Legislature.This was also his Budget speech.Being the Honorable gentlemen's firet effort in the House, we shall not criticise it, but congratulate him upon it and cordially wish him success in the office he holds.We are pleased to note, however, that the new Provincial Treasurer did not estimate four millions of dollars revenue from the liquor stores of the - Government as the Premier did a week ago.We wonder how Mr.Taschereau will relish this implied rebuke.Probably the latter will agree with the lowered estimate believing that THE AXE will \u201clikely make a difference of at least half a million in the profits of the Government whiskey shops.It must be some axe to cut off half a million dollars in one week.The Unemployment Problem The Federal Government has announced that in a few days it will put into effect \u201ca broader scheme than now exists to meet unemployment conditions in Canadian cities\u201d.This is good news for the unemployed and for the country in general, for all will share in the good results.It is particularly pleasing to us that greater measures of relief for returned soldiers are slso projected.It would be to Canada\u2019s everlasting disgrace if the spectacle of the men who fought and bled for us soliciting alms in Tag Day efforts were permitted to continue.The efforts of Mayor Martin have doubtless not been without effect in this matter.The Delorme Murder.We do not like the look.of this tragic affair.Almost every one who discusses the subject has a conviction ad to who slew the unfortunate youth.Few hesitate to nume whom they think the guilty party.Yet instice appears fo stand paralysed and incapable of action.In justice to the murdered man\u2019s brother, Father Délorme, and in kindness to his sorrowing relatives, we believe that all our Christian charity is required to be exercised in this matter.Whoever is guilty should be brought to account, no matter what his position may be, but, until there is proof to satisfy our intelligences, let us not lightly impute guilt to any.As to Father Délorme we suggest in all kindness that he has spoken too much and would be well advised to refrain from further newspaper interviews.Exit Orpheum Burlesque It is certainly a striking coincidence that our severe criticism of the \u201cTing-a-Ling\u201d burlesque show at the Orpheum Theatre in our last week\u2019s issue should have appeared on last Friday, and that on the day after, the Orpheum closed its doors to burlesque and is now \u201cdark\u201d.We hate to claim credit for this but thé coincidence is striking.The Orpheum management will find us just as ready to help with our commendation when they produce worth-while shows as we were severe in our condemnation of last week\u2019s offence.May they have better luck next time and if they return to \u201cstock,\u201d they will fill a much needed want and surely meet with success.What's in a Name?Out West the National Liberal and Conservative Party is shedding the name Liberal and, henceforth, will be known as straight Conservative.This ig a wise step.It was difficult to know which was which when both great political parties used the description Liberal.Now we shall know
