is apparently very nearly exhausted, and, in consequence, it is more than likely that they will shortly have to fall back upon Chicago produce.The cause assigned is, that pork commanded high prices early in the fall, and that a large number of hogs were slaughtered young in this district.High priees are consequently anticipated in the near future for fresh pork.Mr.Boxkr, the newly-appointed manager of the Winnipeg branch of the Union Bank of Lower Carpe, was entertained, by his friends and dUmirers of Three Rivers, on the eve of leaving that town for his new sphere of labour in the North-West.Mr.Boxer\u2019s departure from Three Rivers is regretted by a large circle of friends.Mr.G.H.Henshaw, jr., of this city, has been appointed to succeed Mr.Boxer as manager of the Three Rivers branch of the Bank, and has already left for his new home.Ir is reported that Mr.J.Woodley, sr., has retired from his connection with the business of Messrs.Ritchie & Co.and has gone into business with Mr.Woodley, jr., who commenced manufacturing some months ago in the new building at the extremity of the factory of Mr.G.Bresse.Messrs.Marchand & Polly, who intend to commence manufacturing early in March, will rent a building in St.Rochs cr St.Sauveur supplied with steam power.They will commence by employing some 30 hands.The old established facteriea are working on full time.Mr.H.Griffith, traveller for Mr.G.Bresse, has returned to town from his Western tour, and, we understand, has secured a eufficiency of orders to keep the factory running on full time all the Queen.This arises out of the well-known petition of right brought by Messrs.McLean, Roger & Co., Government printers, to receive compensation for large quantities of printing, alleged to have been given out contrary to the terms of the contract.The Crown demurred to the petition of right, contending that they had no right to bring the action.The demurrer was argued last summer before Judge Henry, who decided against it.The case was appealed from his decision, and is now keing argued before the full bench of Judges.Mr.[ash, Q.C., appears for the appellant, and Messrs.S.H.Bethune, Q.C.4 Miller,\u201d has been continuing the search for the vessel\u2019s hull.To-day be reports that during the past few days in grappling the hook has made fast five times in the same place, and came up with evidences ef wreck, The spot has been buoyed, and an effort will be made to make further discoveries.Mr.Scales is confident that he has located the wreck, it being about forty rods from Spencer's young woman at Fredericton, in November last, was to-day found guilty in York County Court.Sentence was reserved until some law points are argued.Bay fishermen complain that they are subjected to much annoyance and loss by the couduct of American sardine fishermen.The latter use kerosene torches at night, and the oil dropping from them scatters over the surface of the water and drives the herring away.Some of the fishermen avow their intention of laying the matter before the Marine and Fisheries Department.ST.JOHNS, Nfld., January 12.Tue STEAMER \u201c Lion \u201d Disaster \u2014 The steamer \u201c Cabot,\u201d chartered to proceed to the supposed scene of the disaster to the ili-fated steamer \u201c Lion,\u201d did not put to sea owing to the furious gale which set in from the south-west, accompanied by a blinding snow-storm.Your correspondent has ascertained that there were among those on board the \u2018\u201c\u2018 Lion,\u201d in addition to the names already sent, the following persons :-Miss Newhook, Miss Coleman, John Jeans, G.Nagle, James Grant, a son of Captain Doherty, Miss Walkins, Mrs.James, Edward James and Miss Bayley.HALIFAX\u2014January 12.THE steamer \u2018\u2018 Comte d\u2019Eu, \u201d the first of the Brazilian Line which sailed from this port last night, had à cargo for Brazil consisting of 3,650 drums dry fish, 259 cases preserved lobsters, and other goods consisting of oats, flour, potatoes, deals, etc., the value of which is $26,990.She also took a large quantity of pickled and dry fish, ete., to St.Thomas, valued at $3,178.Total cargo about 900 tons weight, and in value $30,168.Ar the inquest held on the body of the dead infant found on the doorstep of a house on Inglis street, examination showed that the child had been born aliye and been attended to after birth.The building on the steps of which it was found is unoccupied, but those who abandoned the little one probably thought the Infamts\u2019 Home was still there, and leaving their burden made a racket at the door and ran away, expecting tne door would be opened and the little one taken in.But noanswer came to their knocks, the rain ceased, a bitter frost came on and the infant was taken to another home.It was evident that the child had been left there during the late rainy weather, as the flannel in which the little body was wrapped was saturated with water and frozen.The abandonment of this helpless babe to be frozen to deatli is one of the most revolting cases of cruelty heard of in this city for many years.The jury returned a verdict that the deceased came to her death throngh cruel and wilful exposure to the weather by some person or persons unknown.Last Monday night, Elisha Loasby fell down stairs in his house and fractured his right shoulder, a small piece of bone entering one of his lungs.It was feared at the time the accident would result fatally, and so it proved, for this morning he died.Mr.Loasby, who had reached his seventy-eighth year, was for many years conductor on the Government Rail ways of this Province, and for the last few years he bas been employed at the North Street Depot.He formerly had been in the British army.To-pAY an action was entered by Francis Kearuey, on bebalf of his wife, in the Supreme Court, against Hon.Samuel Creelman, Commissioner of Works, and Dr.A.P.Reid, Superiutendent of Mount Hope Insane Asylum (as representing the Local Government and institution), for the recovery of the ground on which Mount Hope is built.This is as a consequence of the decision given by the Supreme Court of Canada, in the case.of Kearney vs.Kearney, settling the provisions of an old will, and, it is under stood, it will bring in an opinion of the ex-Chief-Justice as to the legality of the title of the plaintiffs.Five thousand dollars damages is also claimed.FIFTEEN specimens of gold quartz were shown in town to-day, taken by the Salerno Company trem the Kent lode at Tangier on Tuesday.The lode is four feet in width, and is so plentifully indicative that experts pronounce it very rich.Some of those specimens, weighing 15 pounds, must contain 14 ounces of gold, which is regularly distributed throughout the quartz.Tue following Exhibitions and Bursaries are offered by George Munroe, a New York publisher, to Dalhousie College, in addition to those already given by him :\u2014 In October, Hague to make representations to the Government there respecting the navigation of the Rhine and the protection of German fisheries in Dutch waters.The German Minister obeyed the instructions which, it is said, were couched in haughty and imperious language and amounted practically to a demand.The Minister of Foreign Affuirs received the statements with great coldness, and gave no answer indicating a purpose to accede to the requests.[Bismarck then ordered his Minister to demand his passports and return to Berlin.The affair causes considerable excitement: and may lead to war, FRANCE, in two months be dictator.RUSSIA, NEWS FROM THE ARCTIC.St.PETERSBURG, January 12.\u2014This morning arrived the first news since the 20th of December from Yakutsk in reply to the orders given respectively by the Emperor, Count Ignatieff and General Ananthiechen.It sbould be remembered that the telegraph lines terminate at Irkutsk, and that froin that town to Yakutsk the distance is 2,118 versts, or more than 1,800 miles, Then to seek this news and place it on the wires a journey of 3,600 miles, occupying twenty days, had to be made through the enow.The following are the facts thus transmitted and sent me by General.Ananthiechien :\u2014 There is nodirect news of the * Jeannette.\u201d In pursuance of the orders conveyed in my telegram, the inhabitants of the shores of the Governments of Yakutsk and Yenisei have been informed of the shipwreck and have been asked to make energetic searches for the wrecked men who have not yet been found.Several letters for the crew of have you any objection to give me for publication in the Press some information in regard to the suit ?Answer\u2014I have certainly no objection to give you any information that I may properly impart to you in regard to this matter.Q.\u2014 What can you tell me about the Mutual Union Company and its promoters ?A.\u2014My acquaintance with the Mutual Union Telegraph dates back to an early period in its history.My attention was first called to the Company in 1880, when it was organized.The gentleman who first or- grnized the Company contemplated only a small corporation ; and the object was to construct private lines to be used by bankers, boards of trade, st ck operators and other persons who made large use of telegraph facilities, Wires were intended to be leased at so much per anuum ; and I do not understand that it was contemplated that the Company should seek ordinary telegraph business.I had the opportunity to lease one of the wires for the business I was then managing in Providence.Q.\u2014Can you tell me who were the gentlemen interested in the early promotion of the Company ?A.\u2014I do not know accurately who they all were.I undegstand that John O.Evans, of Washington, J.G.Moore, of New York, Mr.Geo.F.Baker, President of the first National Bank of New York, and Geo.William Ballou, who was represented by Geo J.M.Corse, now President of the Toledo, Delphos and Burlington Railway, and one or two others, perhaps, were all that were interested in it.This Company was organized under the laws of the State of New York, in October, 1880, with a capital stock of $600, 000, and by its charter limited its increase of capital to only double that amount, say $1,200,000.Its first move was the construction of a line of four or six wires, extending from Boston, through Providence, Hartford and New York south to Washington.Arrangements were made to lease these wires to individuls or firms.It was not until the spring of 1881 that the idea entered into the minds of the projectors to expand this Company into a general Telegraph Company.1 understand that .ome of the parties in interest were adverse to this scheme and wanted to keep things as they were.I also understand that the objections of these gentlemen were overcome by an agreement entered into between those whe were willing to go on and those who were not, to purchase the interests of those who were unwilling to proceed, and in that purchase to inelude also their own interests, leaving those who saw fit to go on free to de so.Q.\u2014What, do you understand, were the terms of this purchase ?A.\u2014My first understanding was that all of the owners of the stock of $608,000 at the organization were to receive half a million of stock and half a million of first mortgage bonds out of the $10,000,000 of stock, and $5,000,000 o fbonds of a new Come pany of the same name that would be formed by the expansion of the $600,000 organization to these large dimensions.Q.\u2014Do you know in what manper this was carried out ?: A.\u2014I understand that one of the gentlemen, Mr.George W.Ballou, took from the Company an option good for thirty days to buy the entire corporation on the terms named, and as soon as he received that option he issued a circular, which he called « cireular number one,\u201d stating that he was prepared to offer for sale to the public five millions of first mortgage bonds of a Telegraph Company, and that each purchaser of ten thousand dollars of these first mortgage bonds at par was to receive in addition thereto an equal amount of stock of the Company, the bonds to be paid for in month ly instalmentd, I understand tbat ina very short space of time George W.Ballou, & Co.received subscriptions in excess of the amount advertised for sale.On receipt of these subscriptions the option to purchase the Company was closed, and the work of extending the operations of the company into general telegraph business was Commenced.Q.\u2014About what,time did this occur ?A.\u2014About the first of May, 1881.Q.\u2014Was the capital stock of the Company at once increased to 10 millions ?A.\u2014I believe not, for I see by the records of the State Department at Albany that the organization of the\u2019 present Company did not take place until the 15th day of September, 1881.The certificate of incorporation showed that the following persons were the four Directors applying tor the extension of the capital stock : Geo.W.Ballou, John ©.Evans, C.F.Peck, and George H.Holt.Q.\u2014Do you know to what extent the Company has pursued this work ?A.\u2014I understand that the Company entered into a contract with J.G.Moore & Co, with the terms of which I am not familiar.Q.\u2014Was not a copy of it published in the New York papers ?A\u2014There was a copy of a contract published in the New York World, which professed to be a contract between the Mutual Union Co.and John G.Moore & Co.providing for the construction of 13,000 miles of telegraph line by J.G.Moore & Co, for which the contractors were to receive the entire issues of the Union Mutual Company, viz.: 9 millions of stock and 4} millions of bonds, but I do not know whether the contract published was genuine or not.At any rate, its correctness has never been denied so far as I have been able to learn; certaintly there has been no denial of that kind printed.By the terms of this contract it would seem that John G.Moore & Cowere to reap all the benefits in the way of profits accruing under the contract.My understanding of the contract is that J.G.Moore & Co.are to furnish 13,000 miles of telegraph line for the whole issues of the Company, and whatever profit they will get under this contract will be in the stock and bonds of the Company remaining in their hands after fulfilling their part of it.# Q\u2014When did you become a purchaser of stock in this Company?It is understood from newspaper reports that you are uot one of the original stockholders, but have since bought your stock ?A.\u2014My stock was bought about the first of last November ; it was boughtin the open market frem brokers.I have long been of the opinion that a Telegraph Company with 10,000 to 15,000 miles of wire connecting only the principal cities of the country and J avoiding small, outiving places difficult of access, which have little business, and are expensive to maintain, if honestly built and properly managed, could not fail to bea very profitable enterprise.By « honestly built I mean a line on which every dollar of the capital subscribed and bonds issued should bz honestly spent in constructiug the lines and equipping the offices, and that there should be no chance of excessive pre- fits to the contractors.This is what I mean by an honest line; in other words, that the Telegraph Company itself, and not the contractors, should have the full benefit of all the morey for which it bas put out issues.It was commonly believed in Providence when this line was \u2018first proposed, and for some time afterwards, that we were at last to have an honestly constructed Telegraph Company, and that, such being the case, it could not fail to be a good investment.I purchased this stock beliey- ing that, if the Company could be compelled honestly to apply all of the proceeds of i s issues to the construction of \u2018the lines, I would have a very good investment.Soon afier the purchase of my stock I learned that, in addition to the $300,000 of bonds and $500,000 of stock which wére given to the original promoters of the Boston and Washington line, they received back asa sort of 4 bunus,\u201d I suppose, the entire cost of construction.Q.\u2014Do you meaï to say that they re- celved $1,000,000 of stock and bonds in addition to its cost ?A.\u2014Yes; such is my information and belief ; that they not only received one million of bonds and stock, but that thay also received $265,000, with interest at six per cent., which latter-named sum represented the actual cost of constructing the Boston and Washington line.Q.\u2014Ou what ground did the owners of this line justify their action in selling the Boston and Washington line at such an advance over the first cost ?AI cannot answer that quite fully ; | believe it is claimed that they had acquired some valuable franchises, such as the right of entry into Washington through the sewers; the right of entry into New York through a contract they made with the fire department for the maintenance of the fire alarm, and also the right of entry into Providence and Hartford free of expense.I understand that these were claimed to be valuable privileges, 80 valuable as to justify this transaction.But I do not know how much truth there is in this.At all events, the million of stock and bonds were delivered to the original holders, and this stock which has been for sale and the stock which I hold is a portion of this half mil.lien.Q.\u2014To whom was your stock issued ?A.\u2014I cannot tell you; my stock, when bought, stood in the name of J.G.Moore & Co., and bore date June, 1881.Q.\u2014Do you consider such stock valid and legal ?A.\u2014I should think it wasin the hands of third parties, innocent purchasers for a good consideration ;at least I am so advised by counsel learned in the law.Q~\u2014It is claimed in newspaper reports that you do not own any of the original issue of stock of this corporation ; what explanation have you in regard to thai?A.\u2014I claim that I own stock in the $600,000 organization, as my certificates bear date June, 1881, end the present ten million dollar Company was not authorized by law to issue stock until September 15, 1881.My certificates bear on their face the statement that the capital stock was 1¢ raillions, but they seem te have been issued before the ten million dollar Company was authorized to issue stock.If my stock is not original stock I do not know what it is ?Q.\u2014 What is the precise nature of your action ?A.\u2014My bill of complaint sets forth that I am the owner of stock issued in payment for the Boston and Washington line; also that a contract has been entered inte tor the construction of additional lines in consideration of stock and bonds to a large amount, the details of which I am ignorant of.My bill asks that a copy of that contract be filed in Court that 1 may know its conditions ; it also asks that the Company be restrained and perpetually enjoined from issuing and delivering to Jehn G.Moore & Co., the contractors, or to any other person, its stocks or bonds without receiving the full market value of the bonds, ard the par value of the stock, in money, labour, property or material at the current fair market prices of these commodities.In effect, it asks that the Mutual Union Telegraph Company shall receive fur its issues in the carrying out of this contract their just value; that the contracters and the Company shall not be allowed to determine the values, but that they shall be passed upon by the Courts upon proper proof being furnished.It is sought by this means to obtain for the Company in telegraphic property, full par value for its stock, and the full market value for its bonds.If this is accomplished, I have no question as to the future market value of my stock; but, on the contrary, if some check or restraint be not imposed upon the execution of this com- tract, I do uot know what value my stock may have, if any.Q.\u2014Have you any reason to believe that it is intended the Telegraph Company shall receive less than par value for its stock, and the full market value for its bonds ?A\u2014 Yes; about 900 tons weight, and in value $30,168.Ar the inquest held on the body of the dead infant found on the doorstep of a house on Inglis street, examination showed that the child had been born aliye and been attended to after birth.The building on the steps of which it was found is unoccupied, but those who abandoned the little one probably thought the Infamts\u2019 Home was still there, and leaving their burden made a racket at the door and ran away, expecting tne door would be opened and the little one taken in.But noanswer came to their knocks, the rain ceased, a bitter frost came on and the infant was taken to another home.It was evident that the child had been left there during the late rainy weather, as the flannel in which the little body was wrapped was saturated with water and frozen.The abandonment of this helpless babe to be frozen to deatli is one of the most revolting cases of cruelty heard of in this city for many years.The jury returned a verdict that the deceased came to her death throngh cruel and wilful exposure to the weather by some person or persons unknown.Last Monday night, Elisha Loasby fell down stairs in his house and fractured his right shoulder, a small piece of bone entering one of his lungs.It was feared at the time the accident would result fatally, and so it proved, for this morning he died.Mr.Loasby, who had reached his seventy-eighth have you any objection to give me for publication in the Press some information in regard to the suit ?Answer\u2014I have certainly no objection to give you any information that I may properly impart to you in regard to this matter.Q.\u2014 What can you tell me about the Mutual Union Company and its promoters ?A.\u2014My acquaintance with the Mutual Union Telegraph dates back to an early period in its history.My attention was first called to the Company in 1880, when it was organized.The gentleman who first or- grnized the Company contemplated only a small corporation ; and the object was to construct private lines to be used by bankers, boards of trade, st ck operators and other persons who made large use of telegraph facilities, Wires were intended to be leased at so much per anuum ; and I do not understand that it was contemplated that the Company should seek ordinary telegraph business.I had the opportunity to lease one of the wires for the business I was then managing in Providence.Q.\u2014Can you tell me who were the gentlemen interested in the early promotion of the Company ?A.\u2014I do not know accurately who they all were.I undegstand that John O.Evans, of Washington, J.G.Moore, of New York, Mr.Geo.F.Baker, President of the first National Bank of New York, and Geo.William Ballou, who was represented by Geo J.M.Corse, now President of the Toledo, Delphos and Burlington Railway, and one or two others, perhaps, were all that were interested in it.This Company was organized under the laws of the State of New York, in October, 1880, with a capital stock of $600, 000, and by its charter limited its increase of capital to only double that amount, say $1,200,000.Its first move was the construction of a line of four or six wires, extending from Boston, through Providence, Hartford and New York south to Washington.Arrangements were made to lease these wires to individuls or firms.It was not until the spring of 1881 that the idea entered into the minds of the projectors to expand this Company into a general Telegraph Company.1 understand that .ome of the parties in interest were adverse to this scheme and wanted to keep things as they were.I also understand that the objections of these gentlemen were overcome by an agreement entered into between those whe were willing to go on and those who were not, to purchase the interests of those who were unwilling to proceed, and in that purchase to inelude also their own interests, leaving those who saw fit to go on free to de so.Q.\u2014What, do you understand, were the terms of this purchase ?A.\u2014My first understanding was that all of the owners of the stock of $608,000 at the organization were to receive half a million of stock and half a million of first mortgage bonds out of the $10,000,000 of stock, and $5,000,000 o fbonds of a new Come pany of the same name that would be formed by the expansion of the $600,000 organization to these large dimensions.Q.\u2014Do you know in what manper this was carried out ?: A.\u2014I understand that one of the gentlemen, Mr.George W.Ballou, took from the Company an option good for thirty days to buy the entire corporation on the terms named, and as soon as he received that option he issued a circular, which he called « cireular number one,\u201d stating that he was prepared to offer for sale to the public five millions of first mortgage bonds of a Telegraph Company, and that each purchaser of ten thousand dollars of these first mortgage bonds at par was to receive in addition thereto an equal amount of stock of the Company, the bonds to be paid for in month ly instalmentd, I understand tbat ina very short space of time George W.Ballou, & Co.received subscriptions in excess of the amount advertised for sale.On receipt of these subscriptions the option to purchase the Company was closed, and the work of extending the operations of the company into general telegraph business was Commenced.Q.\u2014About what,time did this occur ?A.\u2014About the first of May, 1881.Q.\u2014Was the capital stock of the Company at once increased to 10 millions ?A.\u2014I believe not, for I see by the records of the State Department at Albany that the organization of the\u2019 present Company did not take place until the 15th day of September, 1881.The certificate of incorporation showed that the following persons were the four Directors applying tor the extension of the capital stock : Geo.W.Ballou, John ©.Evans, C.F.Peck, and George H.Holt.Q.\u2014Do you know to what extent the Company has pursued this work ?A.\u2014I understand that the Company entered into a contract with J.G.Moore & Co, with the terms of which I am not familiar.Q.\u2014Was not a copy of it published in the New York papers ?A\u2014There was a copy of a contract published in the New York World, which professed to be a contract between the Mutual Union Co.and John G.Moore & Co.providing for the construction of 13,000 miles of telegraph line by J.G.Moore & Co, for which the contractors were to receive the entire issues of the Union Mutual Company, viz.: 9 millions of stock and 4} millions of bonds, but I do not know whether the contract published was genuine or not.At any rate, its correctness has never been denied so far as I have been able to learn; certaintly there has been no denial of that kind printed.By the terms of this contract it would seem that John G.Moore & Cowere to reap all the benefits in the way of profits accruing under the contract.My understanding of the contract is that J.G.Moore & Co.are to furnish 13,000 miles of telegraph line for the whole issues of the Company, and whatever profit they will get under this contract will be in the stock and bonds of the Company remaining in their hands after fulfilling their part of it.# Q\u2014When did you become a purchaser of stock in this Company?It is understood from newspaper reports that you are uot one of the original stockholders, but have since bought your stock ?A.\u2014My stock was bought about the first of last November ; it was boughtin the open market frem brokers.I have long been of the opinion that a Telegraph Company with 10,000 to 15,000 miles of wire connecting only the principal cities of the country and J avoiding small, outiving places difficult of access, which have little business, and are expensive to maintain, if honestly built and properly managed, could not fail to bea very profitable enterprise.By « honestly built I mean a line on which every dollar of the capital subscribed and bonds issued should bz honestly spent in constructiug the lines and equipping the offices, and that there should be no chance of excessive pre- fits to the contractors.This is what I mean by an honest line; in other words, that the Telegraph Company itself, and not the contractors, should have the full benefit of all the morey for which it bas put out issues.It was commonly believed in Providence when this line was \u2018first proposed, and for some time afterwards, that we were at last to have an honestly constructed Telegraph Company, and that, such being the case, it could not fail to be a good investment.I purchased this stock beliey- ing that, if the Company could be compelled honestly to apply all of the proceeds of i s issues to the construction of \u2018the lines, I would have a very good investment.Soon afier the purchase of my stock I learned that, in addition to the $300,000 of bonds and $500,000 of stock which wére given to the original promoters of the Boston and Washington line, they received back asa sort of 4 bunus,\u201d I suppose, the entire cost of construction.Q.\u2014Do you meaï to say that they re- celved $1,000,000 of stock and bonds in addition to its cost ?A.\u2014Yes; such is my information and belief ; that they not only received one million of bonds and stock, but that thay also received $265,000, with interest at six per cent., which latter-named sum represented the actual cost of constructing the Boston and Washington line.Q.\u2014Ou what ground did the owners of this line justify their action in selling the Boston and Washington line at such an advance over the first cost ?AI cannot answer that quite fully ; | believe it is claimed that they had acquired some valuable franchises, such as the right of entry into Washington through the sewers; the right of entry into New York through a contract they made with the fire department for the maintenance of the fire alarm, and also the right of entry into Providence and Hartford free of expense.I understand that these were claimed to be valuable privileges, 80 valuable as to justify this transaction.But I do not know how much truth there is in this.At all events, the million of stock and bonds were delivered to the original holders, and this stock which has been for sale and the stock which I hold is a portion of this half mil.lien.Q.\u2014To whom was your stock issued ?A.\u2014I cannot tell you; my stock, when bought, stood in the name of J.G.Moore & Co., and bore date June, 1881.Q.\u2014Do you consider such stock valid and legal ?A.\u2014I should think it wasin the hands of third parties, innocent purchasers for a good consideration ;at least I am so advised by counsel learned in the law.Q~\u2014It is claimed in newspaper reports that you do not own any of the original issue of stock of this corporation ; what explanation have you in regard to thai?A.\u2014I claim that I own stock in the $600,000 organization, as my certificates bear date June, 1881, end the present ten million dollar Company was not authorized by law to issue stock until September 15, 1881.My certificates bear on their face the statement that the capital stock was 1¢ raillions, but they seem te have been issued before the ten million dollar Company was authorized to issue stock.If my stock is not original stock I do not know what it is ?Q.\u2014 What is the precise nature of your action ?A.\u2014My bill of complaint sets forth that I am the owner of stock issued in payment for the Boston and Washington line; also that a contract has been entered inte tor the construction of additional lines in consideration of stock and bonds to a large amount, the details of which I am ignorant of.My bill asks that a copy of that contract be filed in Court that 1 may know its conditions ; it also asks that the Company be restrained and perpetually enjoined from issuing and delivering to Jehn G.Moore & Co., the contractors, or to any other person, its stocks or bonds without receiving the full market value of the bonds, ard the par value of the stock, in money, labour, property or material at the current fair market prices of these commodities.In effect, it asks that the Mutual Union Telegraph Company shall receive fur its issues in the carrying out of this contract their just value; that the contracters and the Company shall not be allowed to determine the values, but that they shall be passed upon by the Courts upon proper proof being furnished.It is sought by this means to obtain for the Company in telegraphic property, full par value for its stock, and the full market value for its bonds.If this is accomplished, I have no question as to the future market value of my stock; but, on the contrary, if some check or restraint be not imposed upon the execution of this com- tract, I do uot know what value my stock may have, if any.Q.\u2014Have you any reason to believe that it is intended the Telegraph Company shall receive less than par value for its stock, and the full market value for its bonds ?A\u2014 Yes; one indication is, that they have cffered to give away $4,500,000 of the stock to the subscribers to the bonds.I also learn by inquiry that the late Presithe Secretary, Mr.C.F.Peck ; and the contractors, J.G.Moore & Co.(firm composed of John G.Moore and T.C.Purdy), have been intimately associated in the past in money-making contracts and schemes.I leary that John O.Evans was a manipulator and controller of contracts in the District of Columbia during the regime of Boss Shepherd.I also learn that he was interested in the National Dredging Company, located at Wilmington, Delaware, and elsewhere, of which Mr.Purdy is President, and which is engaged in Government contracting.I also learn that Mr.G.W.Ballou, the financial genius of the Company, through his banking firm, bas been instrumental in placing upon the market what some people call \u201ctwo and three-story securities.\u201d Q.\u2014To what do you refer?A.\u2014I mean the San Pedro and Canon del Agua Mining Company, and the Toledo, Burlington and Delphos Narrow Gauge Railway.Q.\u2014 What do you mean by \u201c three-story\u201d companies ?A.\u2014I mean corporations organized by bankers, railroad promoters, and others interested in making money rapidly, that have three issues, such as first mortgage bonds ; second mortgage or income bonds; and common stock.The plan of such organizations is to sell one of these issues, usually the first mortgage bonds, for anything from 70 cents on the dollar to 95 cents, and to give away the second and third issues either as inducements to purchasers of the first, or else to keep these securities as their own profit for promoting these schemes.I call these three-story\u201d enterprises.Q.\u2014You seem to Lave a poor opinion of such schemes ?A.\u2014I must configs that I have, as I do not think that eitl er railroad or t:legraph enterprises are sufficiently profitable to pay any fair return on three or four times their real cost.Of pourse you can readily see that in the case of such corporations all the money the Company receives is the proceeds of the sale of its first mortgage bonds, and those are generally disposed of far below par.dent of the Company, Mr.John O.Evans ; |- Q.\u2014What is the particular objection to such enterprise ?A.\u2014They are more or less trandulent and delude many honest people into the belief that these issues have value, whereas there is no value attachable to them beyond the amount paid into the Company.The tendency of all such schemes is to inflition, to the disaster of the country, and especially to innocent holders.I should say in regard to this action that I have brought that it Las begun on behalf of myself and all other stockholders of the Company who are similarly situated, and they all have te right to join and share in the benefits by contributing towards the expense.Q.\u2014It seems from your remarks that your object in bringing this suit is to see that the Company gets full value for its issue.Is that the sole aim of your suit?It has been said in seme newspaper articles that you have brought this suit at the request of Mr, Erastus Wiman, a Director in the Western Union Telegraph Company, and also une of the firm cf R.G.Dun & Co.A.\u2014That is not so.The action is brought for the purpose previously stated ;
