I was instructed by your Com- \u2018mittee to recover from the \u201c*Moutreal Water and Power Company,\u201d body politic and duly incor porated, the amouht due forthe water supplied to thein by the city, and also to report upon the respective rights and obligations of the city and the Company, ! have the honor to inform you that I obtained, a short ago, the accounts due to the city, and at once notified the Company to pay the amount of the same, if, in à few days hence.said Company do not perform their obligations an action will be served on them.\u2018 Upon the question of the respective righte and obligations of the city and the Company, Fmust point out that there cxists no agreement between them, except indirectly.as you may see by the opinion | have already submitted, on the 11th of Alay, 1892, to the Annexation Committee of Cote St.Louis to the city of Montreal, and which I think usefu! to quote here for your information.\u201cBy a contract passed between the municipality and the incorporated Company (by letter patent of the 17th March, 1891, confirmed by 35 56 Victoria, Ch.75).under the name of \u201cMontreal Water and Power Company.\u201d on the 8th October, 1891, before John Fair, notary, at Montreal}, it was agreed that the Company was authorized to establish in the limits of the-municipality\u2014a system of water-warks, with the exclusive privilege of supplying water tothe proprietors and tenants during the period of 50 years from the date of the By-Law hercafter mentioned, namely, from the 7th October, 191; that the Company would begin the works within six months from sgid 7th October, and proceed with the same speedily until their full completion.which could not be.extended beyond eightoen months from the same date.\u201d \u201cQaveral clauses of the contract define the compensation or water rate which the consumers shall pay to the Company for the water supplied to them.\u201d * Exemption of ordinary municipal taxes is granted to the Company.but they aro obliged to pay all special assessments for the drains sewers, * pavements and other improvements of the same vature.\u201d ** Another clause of the contract provides that the municipality may sell to the Company all the water-works plant, as it exista and is used in the municipality, with the two 6 inch.meters which are placed in Mount Royal avenue, for the sum of $28,u00; the whole shall be delivered to the Company on the 1st November, 1891, and froma that date, they shall collect from the taxpa/ rs the waterworks revenue: the municipality assigns and transfers to the Company all its rights, powers and privileges attached to the water supply in its limits, and, after every period of 25 years, as long as said exclusive privilege shall: last, the Company will have to makl another ar rangement for the water supply i said municipality, at a rate not exceeding that which is fixed by the presont contract.\u201d \u201cIf the company omit or neglect to perform the conditions of the contract, either with regard to the payment of the sale price.or to the payments to be made to the City of Montreal for tho water rate, or to any.other ohligatioa, or to any obligation which may be stipulated in said con- tract\u2014the municipality shall have the right to repurchase said water-works by paying to the coinpany the value thereof and of the privileges thereto attached\u2014such value to be fixed by arbitrators appointed to thut effect according to law.\u201d \u201cBy another declatory deed, passed at Montreal, before Hugh Brodie, notary, on the 20th February, 1592, said Company agrée to,insert in the last mentioned contraet the following words, which were in the by-law, but, by mistake, had beont omitted in sald contract, viz: \u201cThe said company shall be deprived of all rights and privilegea reeulting from the raid by-law, or which may result trom the said contract.\u201d \u201cThat contract is based upon a by-law adapted by the council of the municipality.on the 7th October, 1591, and contains all the provisions of the same\u2014int> which your committee may enquire, but the aubstance and fesential parts of which are cited hercabove.\u201d \u201cThe payment which the Company war to make to the municipality for the purchase price of the water-works was effectod, as stipulated in the contract, by means of promissory notes, payable at the expiration C.E.Gustave Leeage, notary,at Montreal, onthe 10th May inst., declar- od to tho sahl Company that they had.neglected to comply with the conditions of their contract, and, amungother things.tosupply that the said munloipality would accordingly apply to the courts to have the raid contract cancelled and the said Company deprived of all the rights and privileges granted to them by said contract.\u201d *[ am informed by the Secretary-treasurer of the municipality that the Company has not complied with the requisition contained ia that protest, and 1 am of the opinion that, in such a
